A company registered under the Companies Act, 2013 of India, having its registered office at:

(Hereinafter referred to as “Shopbethe”)
Shopbethe is a division of Homebethe E-Commerce Pvt. Ltd.
AND
Seller
(Hereinafter referred to as “Seller”)
(Both collectively referred to as the “Parties”)
1. Purpose of Agreement
The Seller shall sell its products on the Shopbethe platform, and Shopbethe shall provide facilities for regulations, payment, delivery, returns, etc.

The Seller shall not share or disclose Shopbethe’s business information, customer data, pricing, or any other confidential information to third parties.

Annexure A – Commission and Charges
This Annexure forms part of the Seller Agreement between Shopbethe (hereinafter referred to as “the Company” or “the Platform”) and the Seller. While this Annexure is provided primarily for reading and reference purposes, it establishes the principles, methodology, and understanding of the manner in which commission will be applied to each transaction processed through the Shopbethe platform.
1. General Principle
Shopbethe operates as an online marketplace and platform facilitator. The Seller uses this platform to list, display, and sell its goods to customers. In exchange for providing this marketplace service, Shopbethe is entitled to a commission on each successful sale made through the platform. The commission is a service consideration, covering platform usage, access to customer base, order management, and associated support provided by Shopbethe.
The Parties hereby agree that the commission shall be fixed at four percent (4%) of the total order value (excluding government taxes and duties such as GST, where applicable). No other fees, hidden costs, or charges of any nature shall be imposed by Shopbethe. This flat percentage represents the entire commercial consideration payable by the Seller to Shopbethe for using its platform services.
2. Commission Structure
1. Rate of Commission
o A flat commission of 4% shall be applied uniformly to the value of each successful order.
o “Successful Order” means an order that has been delivered to the customer and not subject to cancellation or refund.
2. Exclusion of Taxes
o the commission is calculated on the net product value, excluding applicable government taxes such as GST.
o Example: If the MRP of a product is ₹1,000 and the applicable GST is 5%, the total invoice is ₹1,050. The commission will be 4% of ₹1,000, i.e., ₹40.
3. No Hidden Charges
o Shopbethe confirms that no additional charges such as listing fees, platform usage charges, transaction handling fees, marketing contributions, or promotional levies will be collected from the Seller.
o the 4% commission is comprehensive and final.
3. Payment Settlement Process
1. Deduction of Commission
o Commission shall be deducted at the time of settlement of payments from Shopbethe to the Seller.
o for instance, if an order value is ₹10,000 (excluding GST), Shopbethe shall deduct ₹400 (4% commission) and remit ₹9,600 to the Seller.
2. Settlement Cycle
o Payment to the Seller shall be made once every month, between the 1st and 10th, for all orders successfully delivered in the preceding cycle.
o Payments will be credited directly to the Seller’s registered bank account.
3. Adjustments for Refunds and Returns
o If any order is refunded or returned, the commission for that particular order shall not be payable to Shopbethe.
o in case the commission amount has already been deducted, the same shall be adjusted in the next payment cycle.
4. Rationale for 4% Commission
The commission percentage has been designed keeping in mind the following considerations:
1. Affordability for Sellers – Many online marketplaces charge anywhere between 10% and 30% commission. By keeping the commission at only 4%, Shopbethe ensures that Sellers can enjoy higher profitability and competitive pricing advantages.
2. Transparency – A single flat rate ensures there is no confusion. Sellers can easily calculate their margins and plan their pricing strategies accordingly.
3. Encouragement of Growth – The lower commission rate is intended to support small and medium enterprises, start-ups, and first-time online sellers, helping them build their business without heavy cost burdens.
4. Simplicity – Sellers do not need to worry about variable charges across categories, additional handling fees, or hidden deductions. A flat 4% applies to all categories, ensuring clarity and trust.
5. Illustrative Examples
1. Example 1:
o Product Price (before GST): ₹1,000
o Commission @ 4%: ₹40
o Net Payable to Seller: ₹960 + GST component (if applicable).
2. Example 2:
o Total Order Value: ₹25,000
o Commission @ 4%: ₹1,000
o Seller Receives: ₹24,000 (subject to applicable refunds or adjustments).
3. Example 3 (Return/Refund Case):
o Order Value: ₹5,000
o Order was refunded in full to customer.
o Commission of ₹200 is not chargeable. If already deducted, it shall be refunded/adjusted in the next payment cycle.
6. Obligations of Shopbethe
· To provide a secure and transparent record of all sales transactions.
· To ensure commission deductions are clearly visible in Seller reports.
· To maintain fairness in settlement without imposing any unauthorized or undisclosed charges.
· To release payments to the Seller within the agreed settlement cycle.
7. Obligations of the Seller
· To price products in compliance with applicable MRP and consumer protection rules.
· To maintain proper invoices so that the calculation of commission remains accurate and transparent.
· To promptly update Shopbethe in case of disputes, cancellations, or refund claims.
· To accept and acknowledge that the flat 4% commission is the only payable fee for platform usage.
8. Special Conditions
1. Discounted Sales: If the Seller chooses to offer discounts or promotional pricing, the commission shall be calculated on the final discounted price (excluding taxes).
2. Bulk Orders: For bulk or wholesale transactions processed through the platform, the same 4% commission applies, unless otherwise agreed in writing.
3. Future Revisions: Any future change in commission percentage shall only be effective if mutually agreed in writing between Shopbethe and the Seller.
9. No Additional Fees
For the avoidance of doubt, Shopbethe confirms that the Seller will not be required to pay:
· Registration charges
· Product listing fees
· Annual subscription or membership fees
· Logistics coordination charges (beyond standard shipping costs agreed separately)
· Marketing or promotional contribution charges
The flat 4% commission is the only financial obligation towards Shopbethe for use of its platform.
10. Dispute Handling in Commission Matters
· In case of any discrepancy in commission calculations, the Seller must notify Shopbethe within 15 working days of receiving the settlement report.
· Shopbethe shall review the claim and, if found valid, make necessary corrections in the next settlement cycle.
· Both Parties agree to handle such disputes amicably and in good faith.
11. Declaration
The Seller, by signing the main Agreement, acknowledges and accepts the commission structure outlined in this Annexure. This Annexure is intended to bring clarity, transparency, and assurance to the Seller regarding charges. Both Parties reaffirm that no other charges apart from the stated commission of 4% shall be levied by Shopbethe.
Annexure B – Copy of GST Certificate
This Annexure is provided for reading and compliance purposes only. It specifies the requirement of submitting a valid Goods and Services Tax (GST) Registration Certificate by every Seller registered on the Shopbethe platform.
1. Purpose
· To comply with the provisions of the Goods and Services Tax Act, 2017.
· To ensure that all business transactions conducted through the Shopbethe platform are fully tax compliant.
· To maintain transparency and authenticity in taxation and invoicing.
2. Requirement for Sellers
· Every Seller must submit a copy of their GST Registration Certificate at the time of onboarding.
· The certificate must clearly confirm the Seller’s legal business details and active GSTIN.
· The GST Certificate must always remain valid and updated during the Seller’s association with Shopbethe.
3. Seller’s Responsibility
· Sellers must provide a genuine and valid GST Certificate.
· In case of any amendment, cancellation, or suspension of GST registration, Sellers are required to notify Shopbethe immediately.
· Sellers must issue GST-compliant invoices for every sale made through the Shopbethe platform.
4. Shopbethe’s Responsibility
· Shopbethe will verify the GST Certificate submitted by the Seller at the time of onboarding.
· Shopbethe may request updated GST details or copies of the certificate whenever required for compliance purposes.
· If a Seller fails to provide a valid GST Certificate, Shopbethe reserves the right to suspend or terminate the Seller’s selling privileges.
5. Declaration
This Annexure is included to ensure compliance and transparency. Sellers acknowledge that submission of a valid GST Certificate is a mandatory requirement for conducting business through Shopbethe.
Annexure C – FSSAI / Organic Certificates
This Annexure is provided for reading and compliance purposes only. It outlines the requirement of submitting FSSAI License and/or Organic Certification for Sellers dealing in food, beverages, consumables, or organic products on the Shopbethe platform.
1. Purpose
· To comply with the Food Safety and Standards Act, 2006 and related regulations.
· To ensure that all food and consumable products sold through the Shopbethe platform are safe, hygienic, and legally compliant.
· To maintain customer trust by guaranteeing authenticity and quality in consumable and organic goods.
2. Applicability
· Sellers selling food items, beverages, dietary supplements, packaged consumables, or organic-certified products must provide a valid FSSAI License.
· Sellers selling organic produce or certified organic products must also provide Organic Certification from an authorized certifying body.
· Non-food product Sellers are not required to submit these certificates.
3. Seller’s Responsibility
· To submit valid copies of their FSSAI License and/or Organic Certification during onboarding with Shopbethe.
· To ensure that certificates remain active and renewed on time.
· To update Shopbethe immediately in case of renewal, change, suspension, or cancellation of the license or certification.
· To label all consumable and organic products in accordance with FSSAI guidelines and applicable labeling laws.
4. Shopbethe’s Responsibility
· To verify that submitted certificates are valid and authentic.
· To request updated copies whenever necessary for compliance checks.
· To suspend or delist Sellers who fail to maintain valid FSSAI or Organic Certification for their listed consumable or organic products.
5. Declaration
· Submission of a valid FSSAI License and/or Organic Certification is a mandatory requirement for Sellers selling consumables or organic products on Shopbethe.
· Sellers acknowledge that non-compliance with food safety and certification requirements may result in suspension or termination of their selling rights on the platform.
Annexure D – Seller Bank Details
This Annexure is provided for reading and compliance purposes only. It specifies the requirement of submitting valid and accurate bank account details by every Seller registered on the Shopbethe platform to ensure smooth settlement of payments.
1. Purpose
· To facilitate timely and accurate transfer of payments to Sellers.
· To ensure that settlements are made only to verified bank accounts owned by the Seller.
· To maintain transparency and compliance in financial transactions.
2. Requirement for Sellers
· Sellers must submit their bank account details at the time of onboarding.
· The account should be an active account held in the name of the registered business entity or authorized proprietor/partner.
· Payments will not be made to third-party or unverified accounts.
3. Seller’s Responsibility
· To provide correct and up-to-date bank details, including account number, IFSC code, and account holder’s name.
· To immediately notify Shopbethe in case of any change in bank account details.
· To ensure that the account provided is compliant with applicable KYC and banking regulations.
· To bear full responsibility for any payment delays or failures arising from incorrect or outdated bank information.
4. Shopbethe’s Responsibility
· To maintain the confidentiality of Seller’s bank account details.
· To ensure that payments are released only to the registered bank account on record.
· To process settlements as per the agreed payment cycle, after deducting applicable commissions (as per Annexure A).
· To update records promptly upon receipt of verified new bank account information from the Seller.
5. Declaration
· Submission of valid and accurate bank account details is a mandatory requirement for conducting business on the Shopbethe platform.
· Sellers acknowledge that payments will only be processed to their registered and verified bank accounts, and no claims will be entertained for payments to alternate or unregistered accounts.
Annexure E – Product List with Agreed Pricing
This Annexure is provided for reading and compliance purposes only. It outlines the requirement of maintaining a list of products with their agreed pricing details for every Seller registered on the Shopbethe platform.
1. Purpose
· To establish clarity regarding the products that a Seller is authorized to sell through Shopbethe.
· To ensure that pricing is transparent, consistent, and in compliance with the Maximum Retail Price (MRP) and applicable regulations.
· To avoid disputes between Shopbethe and the Seller regarding product categories, descriptions, or prices.
2. Requirement for Sellers
· Sellers must maintain and provide a detailed list of all products intended to be sold on Shopbethe.
· The product list must include accurate descriptions and comply with labelling requirements.
· Prices must be within the prescribed MRP, and no product shall be sold above its printed MRP.
3. Seller’s Responsibility
· To ensure that the product list is accurate, updated, and complete at all times.
· To promptly notify Shopbethe of any additions, deletions, or modifications to product details or prices.
· To ensure that all listed products comply with applicable quality, safety, and regulatory standards (e.g., BIS, FSSAI and Organic certification).
· To avoid listing prohibited, counterfeit, or misrepresented products.
4. Shopbethe’s Responsibility
· To maintain a digital record of the Seller’s approved product list and agreed pricing.
· To update product listings on the platform only after receiving confirmation from the Seller.
· To delist or suspend any product that violates Shopbethe’s policies, legal requirements, or customer trust.
· To provide Sellers with access to their live product catalogue on the platform for regular review.
5. Pricing Policy
· Sellers may set their own selling price, but it must not exceed the MRP printed on the product packaging.
· Prices must remain competitive and in line with market standards to ensure fair trade practices.
· Any promotional discounts or special pricing must be mutually agreed with Shopbethe in writing (if applicable).
6. Declaration
· The Product List with Agreed Pricing is considered a mandatory reference document for Sellers.
· Sellers acknowledge that only products listed and approved by Shopbethe shall be eligible for sale on the platform.
· Any attempt to sell unauthorized or unlisted products may result in immediate suspension or termination of Seller privileges.
Product Procurement Policy
1. Purpose and Scope
The purpose of this policy is to define a professional, transparent, and legally compliant framework for business transactions between SHOPBETHE and its suppliers.
This document regulates the following aspects:

2. Investment and Product Ownership
2.1 General Rule
In most cases, the supplier shall bear the responsibility for initial product procurement, stocking, and delivery investment unless otherwise agreed in writing.

Note:
Every product must have a legally valid label, batch code, clear MRP, and proper packaging.
Proofs (photos/videos) for all claims are mandatory.
4. Product Return Policy
4.1 Return Period
Return requests can be raised within 3 (three) days from the date the product is received by SHOPBETHE or the customer.

SHOPBETHE will send a written complaint with evidence to the supplier.
After verification, the return or replacement process will begin.
Cost Responsibility:
If the fault lies with the supplier → Supplier bears the entire cost.
5. Payment Terms
5.1 General Terms
Payments will be made between 1st to 10th working days of the following month after goods are received and accepted.
5.2 First-Time Suppliers
Advance or immediate payment may be considered for trust-building but is not mandatory.
Subsequent payments will follow the agreed contract.
5.3 Valid Payment Methods
Payments via NEFT, IMPS, UPI, or cheque only.
Cash payments are strictly prohibited.

6. Order Cancellation and Delay Management
6.1 Cancellation by Shopbethe
6.2 Supplier Delay
Failure to deliver on time gives Shopbethe full right to cancel the order.
Repeated irregularities may lead to blacklisting or agreement termination.
6.3 Force Majeure
In events like natural disasters, strikes, etc., both parties shall inform each other promptly and reschedule mutually.

SHOPBETHE reserves the right to conduct random quality inspections at warehouse or retail levels.
8. Pricing & MRP Policy
8.1 Mandatory MRP Declaration
Every product must display a Maximum Retail Price (MRP) printed clearly, permanently, and legibly on the packaging.
The MRP must be placed visibly for customers.
Blurred, hidden, or very small MRPs are legally invalid.
8.2 Prohibition of Overcharging
Under no circumstance shall any supplier or seller sell a product above the declared MRP.
Overcharging violates the Legal Metrology Act, 2009, and is a punishable offense.
If any product is sold above MRP through or by SHOPBETHE, the supplier bears full legal, financial, and reputational responsibility.
8.3 MRP Alterations or Malpractices
Changing the MRP, using stickers to modify it, or displaying dual pricing is strictly prohibited.
Any such malpractice will result in immediate written notice and contract termination.
8.4 Discounts & Promotional Offers
Discounts or schemes must be displayed separately below the MRP.
All such promotional prices require Shopbethe’s prior written approval.
8.5 Legal Compliance
Suppliers are fully responsible for all legal and financial consequences arising from non-compliance with this MRP Policy.
SHOPBETHE reserves the right to recover penalties or damages.

10. Dispute Resolution
All disputes will first be resolved through mutual discussion.
If unresolved, legal proceedings will be under the jurisdiction of Surat, Gujarat.
All disputes under this policy shall be governed by Indian laws.
